Terms & Conditions – Autorola Gulf LLC Online Vehicle Auctions

These Terms & Conditions (“Auction Terms”) govern participation in online vehicle auctions hosted by Autorola Gulf L.L.C., a company licensed under Commercial License No. 1176133 with Dubai's Department of Economy and Tourism. By registering and participating in any auction via our platform auctions.autorola.ae, you ("User", "Bidder" or "Buyer") agree to the following:

1. General Conditions

1.1 User Agreement

1.1.1. These Auction Terms regulate the sale of movable property (in particular, used vehicles) from businesses or private sellers (“Sellers”) to business buyers (“Buyers”). The platform auctions.autorola.ae operated by Autorola Gulf L.L.C. facilitates the sale through online bidding.

1.1.2. These Auction Terms constitute the legal basis between the platform operator (Autorola Gulf L.L.C.), the Seller, and the Buyer ("contracting parties"). They also apply to future transactions between registered Users unless amended.

1.1.3. Where the term “vehicles” is used in these Auction Terms, it may also include other movable property listed for auction.

1.1.4. All listed vehicles are sold on an "as-is, where-is" basis. Autorola Gulf L.L.C. neither owns nor holds possession of the listed vehicles, nor does it provide any express or implied warranties regarding the same.

1.2 Exemption from Liability

1.2.1. Users must indemnify Autorola Gulf L.L.C. against claims made by third parties relating to any content provided or unlawful use of the auction platform. This includes covering costs incurred for legal defense. This does not apply where the User is not responsible for the infringement.

2. Registration & Use of the Platform

2.1 Registration Procedure

2.1.1. Access to the auction platform requires free registration. By registering, the User agrees to these Auction Terms and consents to the formation of a binding user contract.

2.1.2. Users must provide accurate registration information and notify the platform of any updates.

2.1.3. Privileged login details (e.g., passwords) must be kept confidential. The registered User is liable for any activity done under their account. User accounts are non-transferable.

2.2 Use of the Platform

2.2.1. Users shall not manipulate the auction system, use automated tools (bots, crawlers, scrapers), or overload the platform infrastructure. Content on the platform may only be reused with written permission.

2.3 Freezing of Accounts

2.3.1. Autorola Gulf L.L.C. reserves the right to freeze or block User accounts without prior notice in case of violations of these Auction Terms.

2.4 Termination of Contract

2.4.1. Users may terminate their accounts at any time via written request to: mtt@autorola.ae.

3. Auction Process & Bidding Conditions

3.1 Auction Conditions

3.1.1. Sellers and Bidders may not manipulate bids or auctions, either directly or through third parties. Sellers are prohibited from bidding on their own items.

3.1.2. Listings must not breach legal, copyright, or intellectual property laws.

3.2 Auction Mechanism

3.2.1. Auctions follow an incremental bidding structure. Each bid must increase over the last by the designated bid increment.

3.2.2. Autorola Gulf L.L.C. controls the scheduling and timeline of auctions. Auctions may be modified or cancelled prior to completion under exceptional circumstances.

3.2.3. The highest bid at auction end is an offer, not a contract. The Seller has up to two (2) business days to accept or reject the highest bid.

3.3 Item Listing Responsibilities

3.3.1. Sellers are responsible for accurate and complete descriptions. Listings must state known defects, ownership rights, and payment/collection info. Photos must be actual representations and may not include promotions or external links.

3.4 Bidding Rules & Binding Period

3.4.1. All bids are gross and binding until:

• Outbid by another User

• Rejected by the Seller

• Expired (remains valid for 48 working hours post-auction end if reserve not met)

3.4.2. Bids cannot be withdrawn unless legally justified. Autorola retains rights to resolve disputes regarding bids and bidding histories.

3.5 Winning the Auction

3.5.1. Upon Seller's acceptance, a binding sales agreement is formed. The Buyer must remit payment within 48 hours.

3.5.2. Failure to pay will result in:

• Cancellation of the sale

• Reassignment of the vehicle to the next Buyer

• Blocking the defaulting Buyer from future activity

3.6 Sales Confirmation & Contract

3.6.1. After the contract is formed, Autorola will provide electronic copies to Buyer and Seller via email and within their user accounts. It is the Buyer's responsibility to verify the details.

4. Collection, Inspection & Documentation

4.1 Vehicle Location & Collection

4.1.1. Buyers must collect the purchased vehicle from the location listed in the item description or Seller's address within 5 working days of payment confirmation.

4.1.2. Failure to collect allows the Seller to charge storage fees of AED 99 per day thereafter.

4.2 Inspection & Objections

4.2.1. All sales are “as-is.” Autorola provides inspection reports for informational use only. Buyers should arrange for their own inspections prior to bidding. On request, physical viewings may be arranged.

4.2.2. Any evident defects discovered at collection must be reported within 24 hours by phone and in writing to support_ae@autorola.ae, while the vehicle remains at its original location.

4.3 Discrepancy Resolution

4.3.1. If a Buyer identifies material differences between the listing and the vehicle, Autorola may arrange a third-party inspection. The cost is borne by the at-fault party.

4.4 Vehicle Release and Documentation Support

4.4.1. Post-payment, Sellers have up to 7 working days to release the vehicle to the Buyer.

4.4.2. Autorola will assist in acquiring documents (e.g., title, ownership certificate) but the Buyer must handle all RTA or government visit requirements independently.

5. Financial Obligations & Fees

5.1 Purchase Price & VAT

5.1.1. The final bid constitutes the gross purchase price.

5.1.2. Where VAT applies, the Buyer must pay it in addition to the invoice amount, and the Seller shall provide documentation to support VAT input claims.

5.2 Payment Terms

5.2.1. Buyers must pay the purchase price to either:

• Autorola Gulf L.L.C. (in case of full facilitation), OR

• Directly to the Seller (when applicable)

5.2.2. Payments must be made within 48 hours by bank transfer. Bank charges are to be borne by the Buyer. Sellers retain vehicle ownership until full payment is received and cleared.

5.3 Additional Buyer Charges

The following costs are also borne by the Buyer unless otherwise stated:

• Vehicle Possession Certificate

• RTA fees for inspection, passing, and ownership transfer

• Delivery/Transportation if required

• AED 250.00 mandatory Platform Fee per vehicle

• Any documentation or admin fees from Seller

6. Transfer of Risk

6.1.1. Risk of loss or damage passes to the Buyer upon vehicle handover. Buyer indemnifies both Seller and Autorola from any third-party liabilities or future damages.

7. Limitation of Liability

7.1.1. Autorola Gulf L.L.C. limits liability to gross negligence or proven intent. In all cases of ordinary negligence, liability is limited to:

a. Injury to life, body, or health
b. Breach of core contractual duties, capped at predictable and typical damages

Autorola shall not be liable for post-sale defects, title disputes, or mechanical issues except under express guarantees.

8. Governing Law & Jurisdiction

8.1.1. These Auction Terms are governed by the laws of the Emirate of Dubai. All disputes shall fall under the exclusive jurisdiction of the DIFC Courts.

8.1.2. Autorola Gulf L.L.C. is not a legal party to any buying/selling agreements and shall not be sued for vehicle condition, description errors, or after-sale issues.

9. Acceptance & Modifications

9.1.1. By registering and using the platform, Buyers agree to abide by these Auction Terms.

9.1.2. Autorola Gulf L.L.C. reserves the right to amend these Terms at its sole discretion without prior notice. Updates will be published on the official platform.
